Terms of Service

By accessing or using the BesTel Communications website at bestel.tech (the "Site") or engaging any of our services, you ("Client", "you", or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Site or our services.

These Terms apply to all visitors, clients, and others who access the Site or use our services. BesTel Communications (Pvt) Limited reserves the right to modify these Terms at any time. Continued use of the Site following any modification constitutes your acceptance of the updated Terms.

2.1 Scope of Services

BesTel Communications provides technology services including, but not limited to: Mobile App Development, Web App Development, AI/ML Integration, Embedded Software Development, PCB Design, Turnkey Solutions, IT Staff Augmentation, and Support & Maintenance (collectively, the "Services").

2.2 Service Agreements

The specific terms, deliverables, timelines, pricing, and obligations for each engagement are governed by a separate Statement of Work (SOW) or Master Services Agreement (MSA) agreed upon in writing between BesTel and the Client. In the event of any conflict between these Terms and an executed agreement, the executed agreement shall prevail.

2.3 Service Changes

BesTel Communications reserves the right to modify, suspend, or discontinue any service at any time, with reasonable notice to active clients. We will not be liable to you or any third party for any modification or discontinuation of services.

3.1 Permitted Use

You may use this Site for lawful purposes related to learning about and engaging with BesTel Communications' services. You agree not to use the Site in any way that violates applicable laws, regulations, or these Terms.

3.2 Prohibited Activities

You must not: • Attempt to gain unauthorised access to any part of the Site or its underlying infrastructure. • Introduce viruses, trojans, worms, or other malicious or harmful code. • Use automated tools (scrapers, bots, crawlers) to extract data from the Site without prior written consent. • Conduct any activity that could damage, disable, or impair the Site's performance. • Impersonate BesTel Communications, its employees, or any other person or entity. • Use the Site to transmit unsolicited communications (spam).

3.3 Account Responsibility

If you are granted access to any client portal or restricted area of our services, you are responsible for maintaining the confidentiality of your credentials and for all activities conducted under your account.

4.1 BesTel IP

The Site and its entire contents — including text, graphics, logos, icons, images, code, and design — are the exclusive property of BesTel Communications (Pvt) Limited and are protected by intellectual property laws in Pakistan, the United Kingdom, and internationally. You may not reproduce, distribute, modify, or create derivative works without our prior written consent.

4.2 Client IP

Intellectual property ownership for custom-developed software, designs, or deliverables is defined within the executed project agreement or SOW. Unless otherwise explicitly agreed in writing, work product created specifically for a Client is assigned to the Client upon full payment.

4.3 Third-Party Licences

Our services and deliverables may incorporate open-source software or third-party components. Such components are used in compliance with their respective licences, and relevant licence terms will be disclosed to clients as appropriate.

4.4 Portfolio Rights

BesTel Communications reserves the right to reference and display completed projects in our portfolio, marketing materials, and case studies unless the Client has expressly requested confidentiality in writing prior to project commencement.

5.1 Invoicing

Payment terms, milestone schedules, and invoicing procedures are defined in the individual project agreement or SOW. All fees are exclusive of applicable taxes unless specified otherwise.

5.2 Late Payment

BesTel Communications reserves the right to suspend or terminate services for accounts with overdue invoices. A late payment fee may apply as specified in the project agreement. BesTel is not liable for any project delays or losses resulting from service suspension due to non-payment.

5.3 Refunds

Refund eligibility is governed by the terms of the individual project agreement. In general, payments for completed milestones and delivered work are non-refundable. Disputes regarding deliverable quality must be raised within 14 days of delivery.

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of the engagement. BesTel Communications will not disclose Client Confidential Information to third parties without prior written consent, except as required by law or to deliver the contracted services.

Confidentiality obligations do not apply to information that is publicly available, already known to BesTel at the time of disclosure, independently developed without reference to Client information, or lawfully received from a third party without restriction.

7.1 Website Disclaimer

The Site and its content are provided on an "as is" and "as available" basis. BesTel Communications makes no representations or warranties of any kind, express or implied, regarding the accuracy, completeness, reliability, or suitability of the information on the Site.

7.2 Service Warranty

BesTel warrants that Services will be performed with reasonable care and skill by qualified professionals. Specific warranties for deliverables — including defect liability periods and correction obligations — are defined in the applicable project agreement.

7.3 No Guarantee of Results

We do not guarantee specific business outcomes, revenue growth, or performance targets from our Services. Technology solutions are delivered to agreed specifications and our obligations are limited to meeting those specifications.

To the maximum extent permitted by applicable law, BesTel Communications shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including lost profits, loss of data, or business interruption — arising out of or in connection with the use of the Site or our Services, even if we have been advised of the possibility of such damages.

Our total liability to you for direct damages shall not exceed the total fees paid by you to BesTel in the three (3) months immediately preceding the event giving rise to the claim, or the amount specified in the applicable project agreement, whichever is lower.

You agree to indemnify, defend, and hold harmless BesTel Communications (Pvt) Limited, its directors, officers, employees, contractors, and agents from and against any claims, damages, losses, costs, and expenses (including reasonable legal fees) arising from: (a) your use of the Site or Services in violation of these Terms; (b) your violation of any applicable law or regulation; or (c) your infringement of any third-party rights.

The Site may contain links to third-party websites, tools, or services. These links are provided for convenience only. BesTel Communications does not endorse or assume responsibility for the content, privacy policies, or practices of any third-party sites or services. You access third-party resources at your own risk.

BesTel Communications may terminate or suspend your access to the Site at any time, without notice, for conduct that we believe violates these Terms or is harmful to other users, BesTel, third parties, or the reputation of our services.

Either party may terminate a Services engagement in accordance with the termination provisions in the applicable project agreement. Upon termination, all outstanding payment obligations, confidentiality obligations, and provisions that by their nature should survive shall remain in effect.

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Islamic Republic of Pakistan. For Clients based in the United Kingdom, disputes may additionally be subject to UK law as agreed in the applicable project agreement.

12.2 Dispute Resolution

In the event of a dispute arising from these Terms or any Services engagement, the parties agree to first attempt to resolve the matter amicably through good-faith negotiation. If a resolution cannot be reached within 30 days, the dispute shall be referred to arbitration or the competent courts in Islamabad, Pakistan, unless otherwise specified in the project agreement.

Entire Agreement

These Terms, together with any applicable project agreement, constitute the entire agreement between you and BesTel Communications regarding the subject matter herein and supersede all prior understandings.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

Waiver

Failure by BesTel to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

Force Majeure

BesTel Communications shall not be liable for any delay or failure to perform its obligations under these Terms or any project agreement caused by circumstances beyond our reasonable control, including natural disasters, war, civil unrest, government action, power outages, or internet disruptions.
